Chairman of a company or group is the chief representative of the company and often consider company's spokesman . The job of the chairman of the board is not just to look out for the shareholders or just chair the meetings etc. it requires much more. His primary responsibility is for leading the Board and ensuring its effectiveness on the other hand Chief Executive is responsible for running the Company’s business.
The responsibilities of the Chairman expressly include:
Running the Board and ensuring its effectiveness in all aspects of its role
* Chairing the Board and general meetings and relevant Board committees
o Setting the Board agenda.
o Ensuring there is an appropriate delegation of authority from the Board to executive management.
o Ensuring the Board receives timely and accurate information to enable the Board to take sound decisions and monitor effectively and provide advice to promote the success of the Company/Group.
o Managing the Board to allow time for discussion of complex or contentious issues.
